Company types in Montenegro: which one to choose
Most foreign founders choose a limited liability company (DOO). Here is how it compares with the other forms, and what changes when the founder is a foreign company.
The forms side by side
| Form | Minimum capital | Best for | Notes |
|---|---|---|---|
| DOO Limited liability company | €1 | Operating businesses, remote services, property holding, trade | Most chosen by foreign founders. One or more founders; a foreigner can be the founder and director. |
| Entrepreneur Sole proprietor | None | One person who lives in Montenegro and works alone | The simplest form. It does not separate the owner’s own assets from the business. |
| Branch | None | A foreign company that wants to work in Montenegro under its own name | An extension of the foreign company. Needs apostilled documents of the parent company. |
| AD Joint-stock company | €25,000 | Larger ventures with outside investors | More governance and more reporting than a DOO. |
Why a DOO is usually the right choice
- The minimum capital is €1.
- A foreign individual or a foreign company can be the founder. There is no requirement for a local shareholder or a local director.
- A DOO is the form on which the director’s residence permit is usually based. See the director’s residence permit.
When the founder is a foreign company
A DOO can be founded by an individual together with a foreign company, for example a 50/50 structure. In that case, we need information about the parent company (a current extract from its register or certificate of incorporation, with an apostille or legalisation and a certified translation), powers of attorney for the director and data on the ultimate beneficial owners. See documents and apostille.
How to choose
Choose a DOO if…
- you want a separate legal entity for your business;
- you plan to hire people or invoice clients;
- you want the director’s residence permit;
- you will have a foreign company as a partner.
Think twice if…
- you only need a tax number for a very small activity;
- you do not want to keep regular accounting: any company, including a DOO, needs it;
- you expect a company to stay dormant.
