Why not just leave the company dormant

A company that is not closed still has to keep its books, file its reports and keep its data in the register up to date. Changes in the registered data are filed within 7 days. A dormant company also does not help a director’s residence permit: renewal needs real activity and taxes paid.

How a solvent DOO is closed

When a company has no debts, its owners can close it by voluntary liquidation. In outline, as described in public legal guides:

1. Owners’ decision

   The owners decide to liquidate the company and appoint a liquidator, usually the director. The owners confirm that the company has no unpaid obligations.

2. Settle taxes and debts

   Taxes, contributions for employees and amounts owed to suppliers and other creditors are paid.

3. Final accounts

   The accounts are prepared up to the closure and the final tax return is filed.

4. Filing with the register

   The documents are submitted to the register, which removes the company from the Central Business Register.

The procedure usually takes weeks, depending on how quickly debts and reports are settled and on the authorities.
